CODEMIFY INC. STUDENT ENROLLMENT AGREEMENTTHE AGREEMENTThis Student Enrollment Agreement ("Agreement") is entered into by and between Codemify Inc., a Wyoming corporation ("Codemify," "we," "us," or "our"), and the individual identified above ("Student," "Participant," "you," or "your").
This Agreement governs enrollment in, access to, and participation in Codemify's educational programs, courses, services, learning platforms, and related materials (collectively, the "Course" or "Services").
ARTICLE 1 - DEFINITIONSFor purposes of this Enrollment Agreement, the following definitions apply:
"Codemify" refers to Codemify Inc., a Wyoming corporation, including its owners, officers, directors, employees, instructors, contractors, representatives, and affiliates.
"Participant" or "Student" refers to the individual enrolling in, accessing, or participating in the Course.
"Course" means the Codemify educational program(s) selected by the Student at the time of enrollment, which may include, but are not limited to, Quality Assurance (QA), QA Automation, and other technology-related training programs offered by Codemify.
"Materials" include all instructional and educational content provided in connection with the Course, including but not limited to videos, recorded lectures, live sessions, written documentation, assignments, projects, assessments, worksheets, data, and any other learning resources made available by Codemify.
ARTICLE 2 - COURSE INFORMATIONCourse Name: Codemify Educational Program(s), including but not limited to Master QA, Manual QA, QA Automation, and related technical training programs.
Course Description: Professional online education and training designed to prepare students for technical and technology-related roles. Programs focus on skill development, practical application, and industry-oriented learning.
Delivery Format: Online instruction, which may include live instructor-led sessions, recorded content, assignments, projects, and independent coursework.
Course Schedule and Duration: Course schedules, start dates, duration, and access periods vary by program and are published on Codemify's official website at: https://codemify.com/courses-schedule. Students are responsible for reviewing the most current schedule information prior to enrollment.
ARTICLE 3 - TUITION, FEES & PAYMENT TERMSTuition Determination:Tuition rates, payment plans, installment options, promotional pricing, discounts, and country-specific pricing may vary based on the selected program, enrollment date, geographic location, availability, and other factors.
The total tuition amount applicable to the Student is the amount displayed and accepted at the time of enrollment during checkout, and/or as reflected on the Student's invoice, payment confirmation, or written confirmation issued by Codemify.

Codemify reserves the right to modify pricing for future enrollments. Tuition is fixed only at the time of purchase and does not change after enrollment.
Application Fee:- All tuition amounts include a non-refundable Application Fee of $150.
- The Application Fee is included in the total tuition amount.
- It is not charged separately.
- It is non-refundable under all circumstances.
Special or Custom Payment Terms:Any special tuition arrangements, discounts, or alternative payment terms must be confirmed in writing by Codemify, including confirmation via official email communication authorized by Codemify's Chief Financial Officer (CFO). Verbal agreements are not valid.
ARTICLE 4 - ASSENT & ACCEPTANCEBy enrolling in, purchasing, accessing, or participating in the Course, you acknowledge and affirm that you have read, understood, and reviewed this Enrollment Agreement in its entirety and that you voluntarily agree to be legally bound by all of its terms and conditions.
Codemify agrees to provide access to the Course and related Services only upon your acceptance of this Agreement. If you do not agree to all terms of this Agreement, you must not enroll in, access, or participate in the Course.
ARTICLE 5 - AGE REQUIREMENTEnrollment in and access to the Course and Codemify's Services are limited to individuals who are at least eighteen (18) years of age.
By enrolling in or participating in the Course, you represent and warrant that:
- You are at least eighteen (18) years of age; and
- You have the legal capacity and authority to enter into and be bound by this Agreement.
Codemify assumes no responsibility or liability for any misrepresentation of age or legal capacity by a Student. Any enrollment made by an individual under the age of eighteen (18) constitutes a material breach of this Agreement and may result in immediate termination of enrollment without refund.
ARTICLE 6 - INTELLECTUAL PROPERTY MATTERSAll Course Materials, the Course, the Website, and any related services provided by Codemify are the exclusive property of Codemify Inc., including, without limitation, all copyrights, trademarks, service marks, trade secrets, patents, proprietary methodologies, and other intellectual property rights (collectively, "Codemify IP").
You acknowledge and agree that Codemify retains all right, title, and interest in and to the Codemify IP. You agree not to use, reproduce, modify, distribute, display, publish, transmit, or create derivative works of any Codemify IP for any unlawful, infringing, or unauthorized purpose. This prohibition includes, but is not limited to, recording, copying, or redistributing the Course or individual sessions, or registering any trademarks, copyrights, or other intellectual property rights related to the Course or Materials.
6.1 Limited LicenseSubject to the terms of this Agreement, Codemify grants you a non-exclusive, limited, non-transferable, and revocable license to access and use the Materials solely for your personal educational purposes in connection with your participation in the Course.
This license does not permit any commercial use and automatically terminates upon the earliest of:
- Completion of the Course;
- Cessation of your participation in the Course or use of the Website; or
- Termination of this Agreement for any reason.
6.2 Prohibition on SharingThe Course, Materials, and access credentials are strictly personal and may not be shared with any third party. If Codemify reasonably suspects that Course content, Materials, or login credentials have been shared or misused, Codemify reserves the right, in its sole discretion, to immediately terminate or suspend access to the Course without refund, in addition to pursuing any other remedies available at law or in equity.
6.3 Prohibited ConductYou agree that you will not, directly or indirectly:
A) Reverse engineer, decompile, disassemble, or attempt to derive source code from any software, platform, or system used in connection with the Course, Materials, or Website;
B) Violate or attempt to violate the security of the Course or Website, including through unauthorized access, circumvention of encryption or security measures, data mining, or interference with any host, user, or network.
ARTICLE 7 - COURSE TERMS & ACADEMIC REQUIREMENTS7.1 Course Start and Access PeriodEnrollment in the Course may not result in immediate access. Course access begins on the applicable Course start date, as published by Codemify or communicated to the Student at the time of enrollment. The standard access period for the Master QA Program is approximately five and one-half (5.5) months from the applicable Course start date. The Master QA Program is structured as follows:
- Manual QA Component: approximately two (2) months
- QA Automation Component: approximately three and one-half (3.5) months
Course components are delivered sequentially in accordance with the program structure, instructional schedule, and academic calendar established by Codemify.
7.2 Expiration of AccessRegardless of whether the Student completes all coursework, assignments, or assessments, access to the Course expires at the conclusion of the 5.5-month access period, unless otherwise expressly stated in writing by Codemify. Upon completion of the instructional portion of the Course, Students may be granted an additional period of access to recorded video lessons only, as disclosed by Codemify. Such post-completion access does not include live sessions, instructor feedback, grading, or academic support unless separately stated. Any extensions, pauses, transfers, restarts, or re-enrollment options are subject to Codemify's published policies and may require additional fees.
7.3 Satisfactory Academic Progress (SAP)Codemify continuously monitors Satisfactory Academic Progress (SAP) throughout the program. To remain in good academic standing, Students are expected to:
- Complete weekly assignments in a timely manner;
- Participate in required live instructional sessions;
- Demonstrate ongoing progress in both Manual QA and Automation components, where applicable;
- Maintain reasonable communication with instructors and instructional staff;
- Submit major assessments, projects, and evaluations by their stated deadlines.
Failure to meet SAP standards may result in academic warnings, temporary suspension, or dismissal from the program, in accordance with Codemify's academic policies. Dismissal for failure to maintain SAP does not entitle the Student to a refund, except where required by applicable law.
ARTICLE 8 - ACCESS AND STUDENT INFORMATIONAs a participant in the Course, you are required to register on Codemify's Website and/or learning platform. During registration, you will be required to create login credentials, which may include your email address or another unique user identifier, along with a password.
You may be required to provide personal information, including but not limited to your full legal name, contact information, and billing details. You are solely responsible for ensuring that all information provided is accurate, complete, and current. This information is necessary to verify your identity, process enrollment, and grant access to the Course.
You must not share your login credentials, account access, or Course access with any third party. If you become aware of any unauthorized access, compromise of your account, or suspected misuse, you agree to notify Codemify immediately in writing. Email notification is sufficient.
Providing false, misleading, or inaccurate personal information for registration, access, identity verification, or billing purposes constitutes a material breach of this Agreement and may result in immediate termination of enrollment and access to the Course without refund.
ARTICLE 9 - PAYMENT & FEES9.1 General Payment ObligationsEnrollment in the Course is conditioned upon payment of applicable tuition and fees in accordance with the payment option selected at checkout.
Tuition may be paid in full or through an approved installment plan, as disclosed at the time of enrollment. Payment schedules, installment structures, and due dates vary by program and are communicated during checkout and/or in written payment confirmation provided by Codemify.
9.2 Installments, Late Fees, and Non-PaymentIf a Student selects an installment payment plan:
- An initial payment is required prior to or at the time of enrollment;
- Subsequent installment payments must be made on the dates specified at checkout or in the Student's payment confirmation.
If payment is not received within five (5) calendar days of the due date, a late fee of $35.00 will be automatically assessed to the Student's account. Late fees are non-refundable. Access to the Course may be suspended until all outstanding balances, including any applicable late fees, are paid in full.
Accounts that remain unpaid for more than thirty (30) calendar days after the due date may be referred to a third-party collection agency. The Student shall be responsible for all collection costs, including agency fees and reasonable attorneys' fees, to the extent permitted by applicable Wyoming law.
Failure to make any required payment by its due date may result in suspension or termination of access to the Course and Website, without refund of any amounts previously paid, except where otherwise required by applicable law.
9.3 No Conditional AccessAccess to the Course is not guaranteed unless and until required payments are successfully processed. Codemify reserves the right to restrict or revoke access for non-payment or payment disputes.
ARTICLE 10 - ACCEPTABLE USEYou agree to use the Course, Website, and Services solely for lawful and educational purposes. You shall not use the Course or Website in any manner that could damage, disable, overburden, or impair Codemify's systems, services, reputation, or operations.
You further agree not to use the Course or Website to:
A) Harass, abuse, threaten, or otherwise violate the legal rights of others;
B) Infringe upon the intellectual property rights of Codemify or any third party;
C) Upload, transmit, or distribute viruses, malware, or any harmful or disruptive software;
D) Commit fraud or misrepresentation;
E) Engage in or promote unlawful gambling, sweepstakes, or pyramid schemes;
F) Publish, transmit, or distribute obscene, defamatory, or unlawful material;
G) Promote violence, hate, or discrimination against any individual or group; or
H) Collect, harvest, or misuse personal information about others without authorization.
You are strictly prohibited from using the Course or Website for illegal or unauthorized spam activities, including harvesting email addresses, collecting personal data, or sending unsolicited commercial communications.
ARTICLE 11 - TRAINING ONLY; NO GUARANTEESThe Course and Website are provided solely for educational and training purposes. Codemify makes no representations, warranties, or guarantees regarding specific outcomes, results, employment, income, internships, or job placement.
Codemify does not guarantee employment or job placement upon completion of any program. Any career-related guidance, resources, or assistance provided is informational only and does not constitute a promise or assurance of employment.
You acknowledge and agree that:
- Information provided in the Course, Materials, or Website does not constitute legal, financial, or professional advice;
- No fiduciary relationship is created between you and Codemify;
- Participation in the Course is at your own risk.
ARTICLE 12 - DATA SECURITY & DATA LOSSCodemify does not assume or accept responsibility for the security of the Student's account, login credentials, personal devices, or any content accessed, stored, or transmitted in connection with the Course or Website.
You acknowledge and agree that your participation in the Course and use of the Website are undertaken at your own risk. Codemify shall not be liable for any loss of data, unauthorized access, system failure, or interruption resulting from factors beyond Codemify's reasonable control, including but not limited to internet connectivity issues, third-party service failures, or user negligence.
ARTICLE 13 - INDEMNIFICATIONYou agree to defend, indemnify, and hold harmless Codemify Inc., including its officers, directors, employees, contractors, affiliates, and representatives, from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your participation in the Course;
- Your use or misuse of the Website, Services, or Materials;
- Your violation of this Agreement; or
- Your acts or omissions.
Codemify reserves the right to select its own legal counsel and to participate in the defense of any such claim, at its discretion.
ARTICLE 14 - MODIFICATION & VARIATIONCodemify may modify, update, or revise this Agreement from time to time in its sole discretion. Any modifications shall become effective immediately upon posting on Codemify's Website or otherwise making the updated Agreement available to Students. You agree that such modifications supersede and replace all prior versions of this Agreement unless a prior version is expressly incorporated by reference.
If any part or provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law. Where applicable, the most recent valid version of the Agreement shall govern.
ARTICLE 15 - ENTIRE AGREEMENTThis Agreement, together with Codemify's Terms of Service, Privacy Policy, Official School Catalog, and any applicable written disclosures or agreements expressly incorporated herein, constitutes the entire agreement between the Parties regarding the Course and the Website.
This Agreement supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the subject matter herein.
ARTICLE 16 - SERVICE INTERRUPTIONSCodemify may temporarily suspend or interrupt access to the Course or Website for maintenance, updates, technical issues, or emergency services, whether scheduled or unscheduled.
You acknowledge and agree that access to the Course and Website may be affected by unanticipated downtime for reasons beyond Codemify's control. Codemify shall not be liable for any loss, damage, or inconvenience resulting from such interruptions, to the extent permitted by applicable law.
ARTICLE 17 - TERM, TERMINATION & SUSPENSIONThis Agreement becomes effective upon the Student's acceptance and remains in effect for the duration of the Student's enrollment in the Course, unless earlier terminated in accordance with this Article. Codemify reserves the right to terminate or suspend this Agreement, and the Student's access to the Course and Website, at any time and for any reason, with or without cause, including but not limited to circumstances where the Student:
- Violates any provision of this Agreement;
- Infringes upon the intellectual property rights of Codemify or any third party;
- Fails to comply with applicable laws or legal obligations; or
- Publishes, distributes, or engages in unlawful or prohibited conduct.
The Student may terminate this Agreement at any time by submitting a written request to Codemify. Termination of this Agreement by the Student or Codemify does not entitle the Student to a refund of any amounts paid, except as expressly provided in the Refund and Cancellation Policy or as required by applicable law. Upon termination, all provisions that by their nature are intended to survive termination shall remain in full force and effect.
ARTICLE 18 - REFUND & CANCELLATION POLICY18.1 Refund Schedule100% Refund - Within 3 Calendar DaysStudents who withdraw within three (3) calendar days of purchase are entitled to a full refund.
Pro-Rata Refund - Days 4 Through 14Students who withdraw between the fourth (4th) and fourteenth (14th) calendar day after purchase are eligible for a prorated refund based on time enrolled.
Refund Calculation: Tuition Paid - (Daily Rate x Days Enrolled)
No Refunds - After 14 DaysNo refunds are issued after the fourteenth (14th) calendar day following enrollment.
18.2 Withdrawals & CancellationsStudents seeking to withdraw must submit a written request by email. Withdrawal does not relieve the Student of any unpaid financial obligations accrued prior to the effective date of withdrawal.
If a Student is required to leave the program within the first thirty (30) days due to:
- Documented medical emergencies or health conditions; or
- The death of an immediate family member (including parents, siblings, or children),
Codemify shall issue a refund of the unused portion of tuition paid, in accordance with applicable Wyoming law and institutional policy.
All other refund requests submitted in good faith will be reviewed and resolved by Codemify at its sole discretion. Supporting documentation may be required. All refund requests must clearly state the requested withdrawal date.
ARTICLE 19 - NO WARRANTIESYou acknowledge and agree that your participation in the Course and use of the Website are undertaken at your sole and exclusive risk.
All Services, Course content, Materials, and access are provided on an "AS IS" and "AS AVAILABLE" basis. Codemify expressly disclaims all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement, as permitted under Wyoming law.
Codemify does not warrant that the Course or Website will meet your expectations or requirements, or that access will be uninterrupted, error-free, or secure. Any damage to your computer system, devices, or loss of data resulting from your participation in the Course or use of the Website is solely your responsibility.
ARTICLE 20 - LIMITATION OF LIABILITYTo the fullest extent permitted by applicable law, including the Wyoming Business Corporation Act (Wyo. Stat. § 17-16-101 et seq.), Codemify shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or relating to your participation in the Course or use of the Website.
In no event shall Codemify's total cumulative liability arising from or relating to this Agreement exceed the greater of one hundred dollars (US $100) or the total amount paid by the Student to Codemify during the six (6) months immediately preceding the event giving rise to the claim.
This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, fraud, or any other legal theory.
ARTICLE 21 - NON-DISCRIMINATION POLICYCodemify Inc. is committed to equal access to education and does not discriminate on the basis of race, creed, color, sex, national origin, age, disability, or any other characteristic protected by applicable federal or Wyoming law.
In accordance with Wyoming Administrative Code Chapter 1 and Wyo. Stat. § 21-2-401 et seq., Codemify shall not:
- Deny enrollment to any prospective Student on the basis of race, creed, color, sex, or national origin;
- Make any distinction or classification of Students that results in unequal treatment based on any protected characteristic;
- Use advertising or marketing materials that discriminate against or exclude any protected class.
Any Student who believes they have been subjected to discrimination in violation of this policy may submit a written complaint to Codemify at
[email protected]. Complaints will be reviewed and responded to within thirty (30) calendar days. Students may also file a complaint with the Wyoming Department of Education or any applicable federal agency.
ARTICLE 22 - GRIEVANCE POLICYAny student complaint or grievance must be submitted in writing to Codemify by email or other written communication. Upon receipt of a written complaint, a representative of Codemify will acknowledge the complaint and contact the Student within three (3) business days to arrange a meeting or call, if appropriate.
Following the review process, Codemify will issue a written response within thirty (30) calendar days of the initial complaint. The response will be sent to the Student's email or mailing address on file.
If the Student is unable to resolve the grievance directly with Codemify, the Student may escalate the complaint through the following channels:

Submission of a grievance does not waive any rights the Student may have under this Agreement or applicable law.
ARTICLE 23 - GENERAL PROVISIONSA) LanguageAll notices, communications, and disclosures under this Agreement shall be provided in the English language.
B) Governing Law; Jurisdiction; VenueThis Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, including the Wyoming Business Corporation Act (Wyo. Stat. § 17-16-101 et seq.), without regard to its conflict-of-law principles.
Any legal action permitted under this Agreement shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming, and the Parties hereby consent to personal jurisdiction and venue in such courts. The Student waives any objection to venue, including claims of forum non conveniens.
C) AssignmentThe Student may not assign or transfer this Agreement or any rights hereunder without Codemify's prior written consent. Codemify may assign this Agreement, and such assignment shall be binding upon its successors and assigns.
D) SeverabilityIf any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
E) No WaiverFailure by Codemify to enforce any provision shall not constitute a waiver of that provision or any other provision.
F) HeadingsHeadings are for convenience only and shall not affect interpretation.
G) No Agency or PartnershipNothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between the Parties.
H) Force MajeureCodemify shall not be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, governmental actions, labor disputes, or interruptions of utilities or internet services.
I) Electronic CommunicationsElectronic communications, including email, are permitted under this Agreement and are valid under the Wyoming Uniform Electronic Transactions Act (Wyo. Stat. § 40-21-101 et seq.). For inquiries, Students may contact:

ARTICLE 24 - ARBITRATION AGREEMENTA) Definition of Claims"Claim" includes any dispute, claim, or controversy arising out of or relating to this Agreement, the Course, or the relationship between the Student and Codemify, whether based in contract, tort, statute, regulation, or equity.
B) Agreement to ArbitrateExcept as otherwise provided, all Claims shall be resolved by binding arbitration under the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) and administered by JAMS, before a single neutral arbitrator. Arbitration replaces the right to go to court and to have a jury trial.
C) Fees and CostsEach Party shall bear its own attorneys' fees and costs unless otherwise required by applicable law.
D) Excluded ClaimsClaims relating to Codemify's intellectual property rights may be brought in court and are not subject to arbitration.
E) Location and Governing LawArbitration shall take place in the United States at a location reasonably convenient to the Parties. The arbitrator shall apply applicable federal law and the laws of the State of Wyoming.
F) Small ClaimsEither Party may bring an eligible claim in small claims court, subject to Wyoming small claims jurisdiction limits. If such claim is transferred or appealed, it shall be resolved by arbitration.
G) No Class Actions; Jury WaiverClaims must be brought on an individual basis only. Class actions, representative actions, and private attorney general actions are waived. The Parties waive the right to a jury trial.
H) Right to Reject ArbitrationThe Student may reject this Arbitration Agreement by submitting written notice to Codemify within thirty (30) calendar days of execution. Rejection of arbitration does not affect other provisions of this Agreement.
ARTICLE 25 - NOTICE TO STUDENTDo not sign or accept this Agreement until you have read it in its entirety. This Agreement is a legally binding instrument and becomes effective upon acceptance by the Student and execution by an authorized representative of Codemify. You are entitled to receive a copy of this Agreement and all disclosure documents you sign. No oral statements or representations may modify this Agreement.
ARTICLE 26 - STUDENT ACKNOWLEDGMENTSBy enrolling in a Codemify program, the Student acknowledges, understands, and agrees that:
- The Student has carefully reviewed and understands the Codemify Enrollment Agreement, including the arbitration provisions, waiver of jury trial, and class action waiver.
- The Student understands that Codemify does not guarantee the transferability of credits or coursework to any other educational institution.
- The Student understands that Codemify does not guarantee internships, employment, or job placement upon completion of any program.
- The Student understands that Codemify is licensed by the State of Wyoming as a post-secondary proprietary school and maintains a performance bond pursuant to Wyoming law.
- The Student voluntarily agrees to be bound by all terms and conditions governing enrollment, participation, and use of Codemify's educational services.
